Business Order Terms
Last updated October 2026
These terms govern an order placed by a business on a written quote from Respec Computers, LLC (“Respec”). An online order is governed by the Build Order Terms instead.
1. Acceptance
An order is formed when you sign the quote or send a purchase order against it and we confirm it in writing. These terms control over any terms on your purchase order.
2. Payment
- First order: a 50% deposit before parts are ordered, with the balance net-30 from delivery.
- Returning customers: net-30 on the full amount, if your quote says so.
- Deposit: refundable until we order parts for your order. After that, it is not refundable to the extent we have spent it on parts we cannot return.
- Late payment: overdue amounts carry interest at 1.5% a month or the highest rate the law allows, whichever is lower. You pay reasonable collection costs, and we may stop work until your account is current.
3. Title
Each machine stays Respec’s property until it is paid for in full, and you grant us a security interest in it until then.
4. Software
You are responsible for holding valid licenses for any software you ask us to install.
5. Warranty
Each machine carries the same One-Year Limited Warranty as an online order.
6. Limit of liability
Neither of us is liable to the other for lost profits or for indirect or consequential damages. Our total liability for an order is limited to the price paid for it. This limit doesn’t apply to personal injury or to any right that cannot be waived.
7. Governing law
Illinois law governs these terms. Any dispute goes to the state courts in Cook County, Illinois, or the United States District Court for the Northern District of Illinois.
